Platform Terms and Conditions

Definitions and Interpretation

In these Terms, the following words and expressions shall have the meanings set out below, unless the context otherwise requires:

• "Platform"The Roja Scout website at https://rojascout.co.zw and the Roja Scout mobile application, including all associated tools, services, features, and content.
• "User"Any individual or entity that accesses or uses the Platform in any capacity, including Housing Seekers, Private Users, and Professional Users.
• "Housing Seeker"A User who accesses the Platform primarily for the purpose of finding, browsing, or inquiring about accommodation listings.
• "Advertiser"A User who posts or manages one or more Listings on the Platform, including landlords, property owners, property managers, letting agents, co-living providers, and individual tenants sub-letting their accommodation.
• "Private User"An individual using the Platform solely for personal, non-commercial purposes, with fewer than three (3) active Listings at any given time.
• "Professional User"Any User who operates the Platform for commercial purposes, including real estate agencies, property managers, estate agents, and individuals with three (3) or more active Listings simultaneously.
• "Listing"Any advertisement, offer, property profile, or accommodation request published by a User on the Platform, including rental listings, room-share listings, and accommodation-wanted notices.
• "Content"All text, descriptions, images, photographs, videos, data, and other material uploaded, submitted, or transmitted by a User through the Platform.
• "Aggregated Listings"Property listings sourced from third-party websites, property portals, or data feeds, displayed on the Platform to supplement User-generated Listings.
• "Premium Services"The paid subscription and enhanced feature services available under Roja Scout Premium plans, as further described in Section 4.3.
• "Subscription Fee"The periodic payment required to access Professional or Premium tiers of the Platform, as displayed on the Roja Scout pricing page.
• "Zimbabwean Law"All applicable laws, regulations, statutes, and statutory instruments of the Republic of Zimbabwe as amended from time to time.
• "Force Majeure"Any event beyond a party's reasonable control, including natural disasters, acts of war, civil unrest, government action, internet outages, or pandemics.

References to any statute or statutory provision shall be deemed to include any subsequent amendment or re-enactment thereof. Headings are for convenience only and shall not affect interpretation. The singular includes the plural and vice versa.

Scope and Nature of Service

2.1 What Roja Scout Provides

Roja Scout operates a Zimbabwe-based online marketplace that facilitates connections between Housing Seekers and Advertisers in the residential and commercial rental sector. The Platform provides the following services:

• A searchable marketplace for posting and browsing property rental Listings across Zimbabwe;
• Advanced search, filtering, and mapping tools to assist Housing Seekers in identifying suitable accommodation;
• An integrated messaging system enabling direct communication between Users;
• Optional identity and listing verification services;
• Premium subscription services offering enhanced visibility, analytics, and profile features;
• Display of Aggregated Listings sourced from authorised third-party property platforms;
• Property alerts, saved searches, and other personalisation features;
• Such additional services as Roja Scout may introduce from time to time.

2.2 Roja Scout's Intermediary Status

Important - Please Read Carefully. Roja Scout is a technology intermediary only. We provide the Platform as a marketplace tool; we do not and shall not at any time:

• Own, control, manage, inspect, or take responsibility for any property listed on the Platform;
• Act as or hold ourselves out as a registered estate agent, letting agent, landlord, or property manager;
• Verify the accuracy, completeness, legality, or current availability of any Listing unless we expressly state otherwise;
• Become a party to, or bear any obligation under, any tenancy agreement, lease, or other transaction entered into between Users;
• Guarantee the suitability, safety, habitability, or legal compliance of any property advertised on the Platform;
• Guarantee the identity, creditworthiness, character, or good faith of any User.

All rental agreements are concluded solely between the Advertiser and the Housing Seeker. Roja Scout accepts no liability for any loss, damage, or dispute arising from such agreements or transactions.

2.3 Platform Availability

We endeavour to ensure that the Platform is available at all times; however, access to the Platform may be suspended or restricted from time to time for maintenance, updates, or reasons beyond our control. We shall not be liable for any loss or inconvenience arising from planned or unplanned Platform downtime.

2.4 User Eligibility

The Platform is intended for use by individuals who are at least eighteen (18) years of age and have full legal capacity to enter into binding contracts under Zimbabwean law. By using the Platform, you represent and warrant that you meet these eligibility requirements and that your use of the Platform does not violate any applicable law.

Account Registration and Security

3.1 Creating an Account

Access to certain features of the Platform requires the creation of a Roja Scout account. When registering, you agree to:

• Provide accurate, current, and complete information, including your full legal name, valid email address, and active telephone number;
• Promptly update your account information whenever changes occur to ensure it remains accurate;
• Create only one (1) account per individual or entity - multiple accounts created to circumvent restrictions or access free tier benefits are strictly prohibited;
• Not impersonate any person, entity, or registered business in connection with your account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any linked API keys or tokens. You must:

• Select a strong, unique password and update it regularly;
• Not share your login credentials with any other person;
• Notify us immediately at support@rojascout.co.zw if you become aware of, or reasonably suspect, any unauthorised access to or use of your account;
• Ensure that you log out of your account at the end of each session, especially on shared devices.

3.3 Account Responsibility

You are fully responsible for all activities, Content, and communications conducted through your account, whether by you or any person using your credentials. Roja Scout shall not be liable for any loss or damage arising from your failure to protect your account credentials, and you may be held liable to Roja Scout for losses we suffer as a result of such breach.

3.4 Account Verification

Roja Scout may at its discretion offer or require verification of your identity, business registration, estate agency licence, or property ownership. Verified accounts receive a badge displayed on their profile and Listings. Verification does not constitute an endorsement by Roja Scout or a guarantee of the User's character, reliability, or the accuracy of their Listings.

User Types and Services

4.1 Private Users Free Tier

Private Users are individuals who use the Platform for personal, non-commercial accommodation purposes. Private Users are entitled to:

• Post up to two (2) active Listings at any time, at no charge;
• Search and browse all Listings on the Platform;
• Send and receive messages through the Platform's messaging system;
• Post accommodation-wanted notices;
• Save searches, set property alerts, and create shortlists.

Private Users who exceed two (2) active Listings, or who list properties on a commercial basis, are required to upgrade to a Professional User account.

4.2 Professional and Commercial Users Paid Subscription Required

Professional and Commercial Users include all entities and individuals operating in a commercial, agency, or professional capacity on the Platform. This category includes, without limitation:

• Real estate agencies and property management companies;
• Estate agents registered under the Estate Agents Act [Chapter 27:05] of Zimbabwe;
• Property developers offering rental properties;
• Co-living providers, student accommodation operators, and housing cooperatives;
• Businesses offering serviced or furnished accommodation;
• Any individual or entity operating under a registered business structure that lists accommodation for gain;
• Private individuals maintaining three (3) or more active Listings simultaneously, regardless of stated commercial intent.

Professional and Commercial Users must subscribe to a paid Professional plan. The use of the Platform for commercial purposes without a valid paid subscription constitutes a material breach of these Terms and may result in immediate account suspension.

4.3 Roja Scout Premium Services

Roja Scout Premium is an enhanced subscription available to both Private and Professional Users, offering:

• Priority placement and increased visibility in search results and category pages;
• Verified identity badges and professional profile enhancements;
• Advanced listing analytics, including views, contact rates, and engagement metrics;
• Unlimited active Listings (Professional Premium);
• Ad-free platform browsing experience;
• Access to featured listing placements and promotional tools;
• Priority customer support with reduced response times.

Premium subscriptions are offered on monthly, quarterly, and annual billing cycles. Full pricing details, including applicable taxes, are set out on the Roja Scout pricing page. Subscription fees are subject to the payment terms in Section 9.

Listings and Content

5.1 Advertiser Warranties on Listings

Each time you post a Listing on the Platform, you represent, warrant, and undertake that:

• All information in the Listing - including property type, location, rental price, availability, and amenities - is accurate, complete, and not misleading;
• You hold the legal right to rent or sublease the property advertised, whether as owner, authorised agent, or with the landlord's written permission;
• The property and the Listing comply with all applicable laws of Zimbabwe, including the Rent Act [Chapter 20:14], Regional Town and Country Planning Act [Chapter 29:12], and any local by-laws;
• All photographs, floor plans, and other media in the Listing belong to you or you have obtained all necessary licences and consents for their use;
• The Listing does not contain discriminatory language or conditions that would be unlawful under the Constitution of Zimbabwe or any other applicable law;
• The rental price stated in the Listing is the true and complete advertised price, exclusive only of costs that are explicitly disclosed.

5.2 Listing Accuracy and Updates

You must update or remove your Listing promptly when a property is no longer available or when any material information changes. Listings left active after a property is rented, sold, or withdrawn from the market may constitute a misrepresentation and shall be subject to removal at Roja Scout's discretion.

5.3 Aggregated Listings

The Platform may display Aggregated Listings sourced from authorised third-party property platforms. These Listings are clearly labelled as "Aggregated" or with equivalent designation. With respect to Aggregated Listings, Roja Scout:

• Does not guarantee their accuracy, completeness, currency, or legal status;
• Bears no responsibility for their content or for any transactions arising therefrom;
• Directs Users to the original source platform for enquiries, viewings, and applications;
• Is not a party to any agreement or transaction arising from an Aggregated Listing.

5.4 Prohibited Content

You must not post, upload, or transmit any Content that:

• Is false, misleading, fraudulent, or constitutes bait advertising;
• Infringes the intellectual property rights, privacy rights, or any other proprietary rights of any third party;
• Is discriminatory on any ground prohibited under Zimbabwean law, including race, sex, age, religion, disability, or political opinion;
• Is obscene, defamatory, threatening, harassing, or otherwise unlawful;
• Contains malware, viruses, or any harmful code;
• Promotes illegal activities or advertises properties used for unlawful purposes;
• Includes hidden fees, premium-rate contact numbers, or commission arrangements not disclosed upfront;
• Has been posted on behalf of another person without their knowledge and full consent.

5.5 Content Moderation and Removal

Roja Scout reserves the right, at its sole discretion and without prior notice, to review, moderate, edit, refuse to publish, or permanently remove any Content or Listing that it reasonably believes violates these Terms, applicable law, or is otherwise harmful or objectionable. Removal of Content does not entitle you to any refund of subscription fees. Repeated violations may result in immediate account suspension or termination under Section 14.

5.6 Reporting Violating Content

If you encounter Content or a Listing that you believe violates these Terms or applicable law, you may report it through the "Report" feature available on the relevant Listing or User profile page, or by emailing support@rojascout.co.zw. We review all reports in good faith but are not obligated to take action in every case. Submitting a manifestly unfounded or vexatious report may itself constitute a breach of these Terms.

User Obligations and Conduct

6.1 General Legal Compliance

All Users must at all times comply with applicable Zimbabwean law when using the Platform, including but not limited to:

• The Estate Agents Act [Chapter 27:05] - if you act as an estate or letting agent;
• The Rent Act [Chapter 20:14] - in relation to rent control and tenant rights;
• The Regional Town and Country Planning Act [Chapter 29:12] - in relation to property use and zoning;
• The Data Protection Act [Chapter 11:12] - in relation to the handling of other persons' personal data obtained through the Platform;
• The Criminal Law (Codification and Reform) Act [Chapter 9:23] - in relation to fraud and misrepresentation.

6.2 Prohibited Activities

You must not, and must not permit any third party to:

• Use the Platform to commit fraud, misrepresentation, or any deceptive practice;
• Impersonate any individual, entity, estate agent, government body, or Roja Scout employee;
• Collect, harvest, scrape, or systematically extract User data, contact information, or Platform content for any unauthorised purpose;
• Send unsolicited commercial communications, spam, or phishing messages through the Platform's messaging system;
• Interfere with, disrupt, or undermine the integrity or security of the Platform or any of its servers, networks, or systems;
• Attempt to circumvent any security, moderation, or access control mechanism;
• Use automated bots, scrapers, or similar tools to access, index, or extract data from the Platform without our prior written authorisation;
• Attempt to gain unauthorised access to any User account, database, or system linked to the Platform;
• Facilitate or encourage any third party to do any of the above.

6.3 Messaging and Communications

All communications through the Platform's messaging system must be conducted in good faith, with honesty, and with respect for other Users. You must not use the messaging system to:

• Harass, threaten, intimidate, or abuse any other User;
• Share personal contact details of third parties without their explicit consent;
• Redirect Users to competing platforms or solicit off-platform transactions for the purpose of circumventing Platform fees;
• Conduct any activity that would constitute a criminal offence under Zimbabwean law.

Roja Scout reserves the right to monitor messages where necessary to investigate suspected violations of these Terms or applicable law, to the extent permitted by the Data Protection Act [Chapter 11:12].

Intellectual Property Rights

7.1 Roja Scout's Intellectual Property

All intellectual property rights in and to the Platform - including its software, source code, architecture, design, trademarks, service marks, logos, database structure, and all Platform-generated content - are owned by or exclusively licensed to Roja Scout. These rights are protected under Zimbabwean law, including the Copyright and Neighbouring Rights Act [Chapter 26:05], the Trade Marks Act [Chapter 26:04], and the Industrial Designs Act [Chapter 26:02]. Nothing in these Terms grants you any ownership interest in the Platform or Roja Scout's intellectual property.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely in accordance with these Terms and for lawful purposes.

7.2 Licence for User Content

By posting, uploading, or submitting any Content on the Platform, you grant Roja Scout a non-exclusive, worldwide, royalty-free, sublicensable, and irrevocable licence to:

• Use, host, reproduce, display, and distribute your Content on the Platform and in connection with Roja Scout's services;
• Adapt or modify your Content to ensure technical compatibility or accessibility across devices;
• Use your Content in Roja Scout's marketing, promotional, and business development activities;
• Sublicense the foregoing rights to Roja Scout's authorised partners, service providers, and technology vendors.

You retain all ownership rights in your Content. This licence survives the termination or deactivation of your account and the removal of Content from the Platform, to the extent necessary for Roja Scout to fulfil its legal, operational, and archiving obligations.

7.3 User's Warranties Regarding Content

By submitting Content, you warrant that you own or have all necessary rights, licences, and consents to grant the above licence and that your Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.

7.4 Restrictions on Platform Use

You may not reproduce, distribute, reverse engineer, decompile, disassemble, modify, or create derivative works of any part of the Platform without Roja Scout's prior written consent. Any use of the Platform or its Content beyond what is expressly authorised in these Terms is strictly prohibited.

Data Protection and Privacy

8.1 Our Privacy Policy

The collection, processing, storage, and sharing of your personal data in connection with the Platform are governed by our Privacy Policy, which is incorporated into and forms part of these Terms. By accepting these Terms, you also accept our Privacy Policy. Our processing of your personal data is conducted in accordance with the Data Protection Act [Chapter 11:12] of Zimbabwe and the right to privacy enshrined in Section 57 of the Constitution of Zimbabwe.

8.2 Visibility of Your Information

You acknowledge and agree that:

• Content you post in your profile, Listings, and public-facing sections of the Platform will be visible to other Users and may be indexed by internet search engines;
• Contact information you include in your Listings (such as telephone numbers or email addresses) will be accessible to Users who interact with those Listings;
• Roja Scout may disclose your information to law enforcement or regulatory bodies where required by Zimbabwean law.

8.3 Data Security

We implement appropriate technical and organisational measures to protect personal data against accidental or unlawful loss, alteration, disclosure, or access, including encryption, access controls, and regular security assessments. However, no internet-based system is entirely secure and we cannot guarantee absolute security. You are responsible for protecting your own login credentials and device security.

8.4 Your Data Rights

Under the Data Protection Act [Chapter 11:12], you have the right to access, correct, delete, and port your personal data, as well as the right to object to or restrict certain processing activities. To exercise these rights, contact our Data Protection Officer at privacy@rojascout.co.zw.

Payments and Fees

9.1 Applicable Fees

Certain Platform features, including Professional accounts and Premium subscriptions, are subject to Subscription Fees. All applicable fees, billing cycles, and payment currencies are displayed on the Roja Scout pricing page and are inclusive of all applicable taxes. By subscribing to a paid service, you agree to pay all fees as set out at the time of purchase.

9.2 Payment Processing

We use trusted third-party payment processors to handle transactions. By providing your payment details, you authorise Roja Scout and its designated payment processor to charge your selected payment method for all applicable fees. Roja Scout does not store complete payment card information on its own servers. Payment data is handled in accordance with applicable financial regulations.

9.3 Subscription Renewal and Cancellation

Unless otherwise agreed:

• Subscriptions automatically renew at the end of each billing period (monthly, quarterly, or annual) until cancelled;
• You will receive an email notification seven (7) days and one (1) day before each automatic renewal;
• You may cancel your subscription at any time via your account settings or by contacting support, effective at the end of the current billing period;
• Access to Premium features continues until the end of the paid-for billing period, regardless of when cancellation is submitted.

Refunds. Subscription fees are non-refundable except where required by Zimbabwean law or in cases of Platform error attributable to Roja Scout. Partial period refunds are not issued in ordinary circumstances.

9.4 Non-Payment and Account Suspension

If a Subscription Fee cannot be collected on its due date, Roja Scout reserves the right to downgrade your account, restrict access to paid features, or suspend your account until all outstanding amounts are settled. We will notify you of any payment failure and provide a reasonable opportunity to rectify it before suspending your account.

9.5 Price Changes

Roja Scout reserves the right to modify its Subscription Fees at any time. Any price change affecting your existing subscription will be communicated to you by email at least thirty (30) days before it takes effect. The increase will apply at your next subscription renewal. If you do not agree to the new pricing, you may cancel your subscription before the renewal date.

Warranties

10.1 Roja Scout's Warranties

Roja Scout warrants that it will provide the Platform with reasonable care and professional diligence, and will endeavour to maintain a safe, functional, and reliable online environment. Where Roja Scout is in breach of these Terms, you are entitled to the remedies provided under Zimbabwean consumer and contract law.

10.2 Disclaimer of Implied Warranties

To the fullest extent permitted by applicable Zimbabwean law, the Platform is provided on an "as is" and "as available" basis. Roja Scout disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. In particular, Roja Scout does not warrant:

• The accuracy, completeness, reliability, or currency of any Listing or User-generated Content;
• That the Platform will operate without interruption, delay, or error;
• That any defect in the Platform will be corrected within any particular timeframe;
• That the Platform or any server hosting it is free of viruses or harmful components;
• The suitability, habitability, safety, or legal compliance of any property advertised.

Nothing in this Section affects any statutory rights you may have under Zimbabwean law that cannot lawfully be excluded.

10.3 Your Warranties

You warrant and represent that: (a) you have the legal authority to enter into and perform obligations under these Terms; (b) all Content you post is accurate and does not infringe any third-party rights; and (c) your use of the Platform complies with all applicable law.

Limitation of Liability

11.1 Exclusion of Indirect Losses

To the fullest extent permitted by Zimbabwean law, Roja Scout shall not be liable - whether in contract, tort (including negligence), statute, or otherwise - for any of the following, even if we have been advised of the possibility of such losses:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profit, revenue, business, opportunity, goodwill, or anticipated savings;
• Loss or corruption of data;
• Any loss or damage arising from transactions, disputes, or agreements between Users;
• Any loss or damage arising from Content published by Users or through Aggregated Listings;
• Any loss or damage caused by third-party service providers or payment processors;
• Any loss or damage resulting from a Force Majeure event.

11.2 Cap on Liability

To the fullest extent permitted by law, Roja Scout's total aggregate liability to you in respect of any claim arising from or in connection with these Terms or the Platform shall not exceed the total Subscription Fees paid by you to Roja Scout in the twelve (12) months immediately preceding the event giving rise to the claim, or USD 100, whichever is greater.

11.3 Mandatory Exceptions

Nothing in these Terms excludes or limits Roja Scout's liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited under Zimbabwean law.

Indemnification

You agree to indemnify, defend, and hold harmless Roja Scout, InsightfyZim, and each of their respective affiliates, officers, directors, employees, agents, licensors, and service providers from and against all claims, actions, liabilities, losses, costs, and expenses (including reasonable legal and professional fees) arising from or in connection with:

• Your access to or use of the Platform in breach of these Terms;
• Any Content you post, upload, or transmit on the Platform;
• Your violation of any applicable law or regulation;
• Your infringement of any third party's intellectual property, privacy, or other rights;
• Any transaction, dispute, or interaction between you and another User, arising from your use of the Platform;
• Any misrepresentation made by you in connection with the Platform or to another User.

Roja Scout reserves the right, at its expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defence.

Dispute Resolution

13.1 Disputes Between Users

Roja Scout is not a party to any rental agreement, tenancy, or other transaction between Users. Users are solely responsible for resolving disputes arising from their interactions with one another. Roja Scout may, in its absolute discretion, assist in facilitating communication between disputing parties, but assumes no obligation to do so and accepts no liability for the outcome of any inter-User dispute.

13.2 Good Faith Negotiation

In the event of a dispute between you and Roja Scout arising from or in connection with these Terms or the Platform, both parties agree to first attempt to resolve the matter through good faith negotiation. You should raise any complaint in writing to support@rojascout.co.zw, setting out the nature of your complaint in reasonable detail. Roja Scout will acknowledge your complaint within five (5) business days and endeavour to resolve it within thirty (30) days.

13.3 Formal Arbitration

If a dispute cannot be resolved by good faith negotiation within thirty (30) days of the complaint being raised, either party may refer the matter to binding arbitration under the Arbitration Act [Chapter 7:15] of Zimbabwe. Arbitration shall be conducted on the following basis:

• Venue: Harare, Zimbabwe;
• Language: English;
• Arbitrator: As mutually agreed, or as appointed in accordance with the Arbitration Act;
• Award: Final and binding on both parties, subject to any rights of appeal under Zimbabwean law.

13.4 Governing Law

These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. The courts of Zimbabwe shall have jurisdiction over all matters not referred to arbitration.

Termination

14.1 Termination by You

You may terminate your Roja Scout account and these Terms at any time by accessing your account settings and following the account deactivation or deletion process. Upon termination by you:

• All active Listings associated with your account will be deactivated and removed from the Platform;
• Access to your account, messages, and saved data will cease at the end of any active subscription period;
• You will not be entitled to a refund of any unused subscription fees, except where required by law.

14.2 Termination or Suspension by Roja Scout

Roja Scout reserves the right to immediately suspend or permanently terminate your account and access to the Platform, with or without prior notice, if:

• You violate or breach any provision of these Terms, our Privacy Policy, or any applicable law;
• We reasonably believe your account has been compromised, or is being used fraudulently or by an unauthorised third party;
• We receive a credible legal demand, court order, or regulatory instruction relating to your account or Content;
• You engage in conduct that is materially harmful to Roja Scout, its reputation, its users, or any third party;
• Continued provision of services to you would require us to act in violation of applicable Zimbabwean law.

Where circumstances allow, we will provide you with advance notice of suspension and an opportunity to respond or remedy the breach before termination. However, immediate suspension or termination without notice shall be applied in cases of serious breach, fraud, or where delay would cause harm.

14.3 Effects of Termination

Upon termination of your account, whether by you or by Roja Scout:

• Your access to all Platform features will cease immediately;
• All active Listings will be removed;
• Roja Scout is not obligated to retain, provide access to, or return copies of your Content or data, subject to our data retention obligations under applicable law;
• Any outstanding fees due to Roja Scout at the date of termination remain payable.

The following Sections shall survive termination and remain in full force and effect: Sections 7 (Intellectual Property), 10 (Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 15 (General Provisions).

General Provisions

15.1 Amendments to These Terms

Roja Scout reserves the right to modify these Terms at any time. Changes will be published on the Platform with an updated effective date. For changes that materially affect your rights or obligations, we will notify you by email at least thirty (30) days before the changes take effect. Your continued use of the Platform after the effective date of any amended Terms constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must cease using the Platform and deactivate your account before the changes take effect.

15.2 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any other policies expressly incorporated herein by reference, constitute the entire agreement between you and Roja Scout with respect to the Platform and supersede all prior representations, understandings, agreements, and negotiations, whether written or oral.

15.3 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

15.4 Waiver

No failure or delay by Roja Scout in exercising any right or enforcing any provision of these Terms shall constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Roja Scout to be effective.

15.5 Assignment

You may not assign, transfer, or sub-license your rights or obligations under these Terms, in whole or in part, without Roja Scout's prior written consent. Roja Scout may freely assign these Terms, or any of its rights or obligations hereunder, to any affiliate, subsidiary, or successor in interest, including in the event of a merger, acquisition, or corporate restructuring.

15.6 Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than a payment obligation) if such delay or failure is caused by a Force Majeure event beyond its reasonable control, provided that the affected party notifies the other promptly and takes reasonable steps to mitigate the impact.

15.7 Notices

Notices from Roja Scout to you will be sent to the email address registered on your account and are deemed received when sent. Notices from you to Roja Scout must be sent in writing to support@rojascout.co.zw or, for formal legal notices, to the registered address set out in Section 16.

15.8 Third-Party Rights

These Terms confer no rights on any third party and are not enforceable by any person who is not a party to them, except where expressly provided otherwise.

15.9 Independent Parties

Nothing in these Terms creates a partnership, agency, joint venture, franchise, or employment relationship between you and Roja Scout. Neither party has the authority to bind the other or to incur obligations on the other's behalf.
