TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the Roja-Scout platform, including the website at https://rojascout.co.zw and the Roja-Scout mobile application (collectively, the "Platform").

The Platform is operated by [InsightfyZim] ("Roja-Scout", "we", "us", or "our"), a company in Zimbabwe.

By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

1. DEFINITIONS AND INTERPRETATION

In these Terms, unless the context otherwise requires:

• "User" means any person who accesses or uses the Platform, including Housing Seekers and Advertisers;
• "Housing Seeker" means a User seeking accommodation through the Platform;
• "Advertiser" means a User who posts listings for accommodation on the Platform, including landlords, property managers, and current tenants;
• "Listing" means any advertisement, offer, or request for accommodation posted on the Platform;
• "Content" means all text, images, photographs, videos, data, information, and other materials posted, uploaded, or transmitted by Users on the Platform;
• "Premium Services" means the paid subscription services offered under Roja-Scout Premium;
• "Aggregated Listings" means property listings obtained from third-party websites and platforms and displayed on the Platform.

2. SCOPE AND NATURE OF SERVICE

2.1 Platform Services

Roja-Scout operates an online platform that connects Housing Seekers with Advertisers. The Platform provides:

• A marketplace for posting and viewing property listings;
• Search and filtering tools to find accommodation;
• Messaging facilities for communication between Users;
• Identity verification services;
• Premium subscription services with enhanced features;
• Aggregation of listings from third-party property platforms;
• Additional services related to accommodation search and property rental.

2.2 Intermediary Status

Roja-Scout is an intermediary platform only. We do not:

• Own, manage, or control any properties listed on the Platform;
• Act as an estate agent, landlord, or property manager;
• Verify the accuracy of listings or the identity of all Users;
• Become a party to any rental agreement or transaction between Users;
• Guarantee the suitability, safety, legality, or quality of any property or User.

2.3 User Eligibility

The Platform is intended for use by individuals aged 18 years and above.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into binding contracts;
• Your use of the Platform complies with all applicable laws of Zimbabwe.

3. REGISTRATION AND ACCOUNTS

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Maintain the security and confidentiality of your login credentials;
• Immediately notify us of any unauthorized use of your account.

3.2 Account Responsibility

You are solely responsible for all activities conducted through your account.

You agree to indemnify Roja-Scout for any losses arising from unauthorized use of your account if such use results from your failure to maintain the security of your login credentials.

4. TYPES OF USERS AND SERVICES

4.1 Private Users

Private Users are individuals using the Platform for personal, non-commercial purposes. Private Users may:

• Post up to two (2) active listings free of charge;
• Search and browse listings;
• Contact Advertisers through the Platform's messaging system;
• Post requests for accommodation.

4.2 Professional and Commercial Users

Professional and Commercial Users include:

• Real estate agencies and property management companies;
• Estate agents registered under the Estate Agents Act [Chapter 27:05];
• Co-living providers and housing cooperatives;
• Businesses offering furnished accommodation;
• Any entity operating through a registered business structure;
• Private individuals with three (3) or more active listings.

Professional and Commercial Users must subscribe to paid services to use the Platform.

Pricing and package details are available on the Platform.

4.3 Premium Services

Roja-Scout Premium is a paid subscription service offering enhanced features, including:

• Increased visibility for listings and profiles;
• Verified identity badges;
• Priority placement in search results;
• Advanced analytics and insights;
• Ad-free browsing experience;
• Additional communication features.

Premium subscriptions are offered on monthly, quarterly, or annual terms. Subscription fees are non-refundable except as required by law.

5. LISTINGS AND CONTENT

5.1 User-Generated Listings

When posting a listing, you represent and warrant that:

• All information provided is accurate, complete, and current;
• You have the legal right to offer the property for rent;
• The listing complies with all applicable housing and rental laws of Zimbabwe;
• You own or have obtained necessary permissions for all images and content;
• The listing does not contain discriminatory content prohibited under Zimbabwean law.

5.2 Aggregated Listings

The Platform may display Aggregated Listings obtained from third-party websites and platforms.

These listings are clearly marked as "Aggregated" or with similar designations. Roja-Scout:

• Does not guarantee the accuracy, completeness, or current status of Aggregated Listings;
• Is not responsible for the content or legality of Aggregated Listings;
• Directs Users to the original source platform for further inquiries;
• Does not facilitate or participate in transactions arising from Aggregated Listings.

5.3 Prohibited Content

You must not post Content that:

• Is false, misleading, or fraudulent;
• Infringes intellectual property rights or other proprietary rights;
• Contains discriminatory language based on race, religion, gender, disability, or other protected characteristics;
• Is obscene, offensive, defamatory, or harassing;
• Violates any law or regulation;
• Contains viruses, malware, or other harmful code;
• Advertises illegal activities or substances;
• Contains premium-rate telephone numbers, commission fees, or hidden charges.

5.4 Content Removal

We reserve the right to remove, modify, or refuse to publish any Content that violates these Terms or is otherwise objectionable, without prior notice and at our sole discretion.

We may also suspend or terminate accounts that repeatedly violate these Terms.

6. USER OBLIGATIONS AND CONDUCT

6.1 General Obligations

Users must:

• Comply with all applicable laws of Zimbabwe, including the Estate Agents Act [Chapter 27:05], Regional Town and Country Planning Act [Chapter 29:12], and Rent Act [Chapter 20:14];
• Use the Platform only for lawful purposes related to accommodation search or rental;
• Respect the rights and privacy of other Users;
• Maintain professional and respectful communication;
• Report any violations of these Terms or suspicious activity to Roja-Scout.

6.2 Prohibited Activities

Users must not:

• Use the Platform to commit fraud or engage in deceptive practices;
• Impersonate any person or entity;
• Scrape, harvest, or collect User data for unauthorized purposes;
• Send spam, bulk messages, or unsolicited commercial communications;
• Interfere with or disrupt the Platform's operation or security;
• Circumvent or attempt to circumvent any security measures;
• Use automated systems or software to extract Platform data;
• Attempt to gain unauthorized access to the Platform or other Users' accounts.

6.3 Communications

All communications between Users through the Platform must be conducted in good faith.

Users must not use the messaging system to harass, threaten, or intimidate other Users.

Any User found to be abusing the communication features may have their account suspended or terminated.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Platform Ownership

All intellectual property rights in the Platform, including but not limited to software, design, trademarks, logos, and database structure, are owned by or licensed to Roja-Scout.

These rights are protected under Zimbabwean law, including the Copyright and Neighbouring Rights Act [Chapter 26:05] and the Industrial Designs Act [Chapter 26:02].

7.2 User Content License

By posting Content on the Platform, you grant Roja-Scout a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to:

• Use, reproduce, modify, adapt, and display your Content;
• Distribute and publish your Content on the Platform and associated services;
• Create derivative works from your Content for Platform purposes;
• Sublicense these rights to our partners and service providers;
• Use your Content for marketing, promotional, and business development purposes.

This license survives the termination of your account and the removal of Content from the Platform.

7.3 Restrictions on Use

You may not reproduce, distribute, modify, or create derivative works from the Platform or any Content without our express written permission.

Commercial use of the Platform beyond authorized listings is strictly prohibited.

8. DATA PROTECTION AND PRIVACY

8.1 Privacy Policy

Our collection, use, and processing of personal data are governed by our Privacy Policy, which forms part of these Terms.

By using the Platform, you consent to such processing in accordance with the Privacy Policy and the Data Protection Act [Chapter 11:12] of Zimbabwe.

8.2 Data Sharing

You acknowledge and agree that:

• Information in your profile and listings will be publicly visible on the Platform;
• Your data may be indexed by search engines;
• Contact information you provide may be shared with Users who interact with your listings;
• We may share aggregated or anonymized data with third parties for business purposes.

8.3 Data Security

While we implement reasonable security measures to protect User data, we cannot guarantee absolute security.

Users are responsible for maintaining the confidentiality of their login credentials and for any activities under their accounts.

9. PAYMENT AND FEES

9.1 Paid Services

Certain Platform services, including Professional accounts and Premium subscriptions, require payment. By subscribing to paid services, you agree to:

• Pay all applicable fees as displayed on the Platform;
• Provide valid payment information;
• Authorize us to charge your payment method for recurring subscriptions;
• Pay any applicable taxes or additional charges.

9.2 Payment Processing

We use third-party payment processors to handle transactions. By providing payment information, you authorize us to share such information with payment processors for transaction processing purposes.

We do not store complete credit card information on our servers.

9.3 Subscription Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled.

You will receive email notifications seven (7) days and one (1) day before renewal.

You may cancel your subscription at any time through your account settings.

Cancellation takes effect at the end of the current billing period.

No refunds will be provided for partial subscription periods unless required by law.

9.4 Price Changes

We reserve the right to modify our pricing at any time.

Price changes for existing subscriptions will apply upon renewal and will be communicated to Users at least thirty (30) days in advance.

10. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ROJA-SCOUT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT;
• UNINTERRUPTED OR ERROR-FREE OPERATION;
• SECURITY OF DATA TRANSMISSION;
• QUALITY, LEGALITY, OR SAFETY OF PROPERTIES OR USERS.

WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW:

• ROJA-SCOUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM;
• WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM TRANSACTIONS BETWEEN USERS;
• WE ARE NOT LIABLE FOR USER CONTENT, INCLUDING AGGREGATED LISTINGS;
• WE ARE NOT LIABLE FOR ACTIONS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS;
• WE ARE NOT LIABLE FOR LOSSES CAUSED BY FORCE MAJEURE EVENTS, INCLUDING NATURAL DISASTERS, WAR, CIVIL UNREST, OR GOVERNMENT ACTIONS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER ZIMBABWEAN LAW.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Roja-Scout, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your Content; (c) your violation of these Terms; (d) your violation of any law or third-party rights; or (e) any transactions or interactions with other Users.

13. DISPUTE RESOLUTION

13.1 Inter-User Disputes

Roja-Scout is not a party to any agreements or transactions between Users.

Users must resolve disputes arising from such agreements directly with each other.

We may, at our discretion, provide contact information or facilitate communication, but we have no obligation to intervene in disputes.

13.2 Disputes with Roja-Scout

Any dispute arising from these Terms or your use of the Platform shall first be subject to good faith negotiation between the parties.

If the dispute cannot be resolved within thirty (30) days, either party may refer the matter to arbitration under the Arbitration Act [Chapter 7:15] of Zimbabwe.

The arbitration shall be conducted in Harare, Zimbabwe, in English, and the decision shall be final and binding.

14. TERMINATION

14.1 Termination by User

You may terminate your account at any time by accessing your account settings and following the deactivation process.

Upon termination, your active listings will be removed, but your license to Roja-Scout under Section 7.2 shall survive.

14.2 Termination by Roja-Scout

We may suspend or terminate your account immediately and without prior notice if:

• You violate these Terms;
• We reasonably believe your account has been compromised;
• We receive complaints or legal demands regarding your Content;
• You engage in fraudulent or illegal activity;
• Continued provision of services to you would violate applicable law.

14.3 Effects of Termination

Upon termination, you will lose access to your account and all associated data.

We are not obligated to retain or provide copies of your Content.

Termination does not affect any obligations or liabilities incurred prior to termination.

Sections 7, 10, 11, 12, 13, and 15 shall survive termination.

15. GENERAL PROVISIONS

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Zimbabwe.

The courts of Zimbabwe shall have exclusive jurisdiction over any disputes arising from these Terms.

15.2 Amendments

We reserve the right to modify these Terms at any time.

Changes will be posted on the Platform with an updated effective date.

Material changes will be communicated to Users via email or prominent notice on the Platform.

Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Roja-Scout regarding the Platform and supersede all prior agreements and understandings.

15.5 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15.6 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

15.7 Notices

Notices to Users will be sent to the email address associated with your account. Notices to Roja-Scout should be sent to [support@rojascout.co.zw]. Notices are deemed received when sent to the email address on file.

15.8 Third-Party Rights

These Terms do not confer any rights upon third parties. No third party is entitled to enforce any provision of these Terms.
